16. GOVERNING LAW AND JURISDICTION

These Articles shall be governed by, and construed in accordance with, the laws of the Kingdom of Thailand, without regard to its conflict of laws principles.

• Any and all disputes, controversies, or claims arising out of or relating to these Articles, or the breach thereof, shall be exclusively and finally resolved through binding arbitration conducted in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute (TAI) then in effect. The arbitral tribunal shall be composed of a single arbitrator selected in accordance with the rules of the TAI. The language of the arbitration shall be Thai. The decision of the arbitrator shall be final and binding on the parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
